Terms of Business for Platfform Wellbeing (a trading name for Platfform for Change)

 

1. Agreement

The terms of this agreement apply to the exclusion of any other terms and conditions submitted, proposed or stipulated by the client. The terms of this agreement apply to all services to be provided by Platfform Wellbeing (a trading name for Platfform for Change).

2. General

If for any reason a training session, workshop or event is cancelled or moved within reasonable control, then adequate provision will be made by Platfform Welbeing to replace the event within a reasonable timescale to deliver the same value to the client.

If by any reason of any event caused by circumstances beyond its reasonable control (“Force Majeure”) Platfform Wellbeing shall be delayed in, or prevented from, performing any of the provisions of this agreement then such delay or non-performance shall not be deemed to be a breach of this agreement and no loss or damage shall be claimed by the client from Platfform Wellbeing by reason thereof. If the event of Force Majeure continues for one month, either Party may terminate this agreement immediately by notice to the other, in which case neither party shall be liable to the other party by reason of such termination.

3. Cancellation and re-arranging of training, workshops and events

The cancellation policy is as follows:

  • Cancellation more than 3 months out from delivery 100% refund of fees
  • Cancellation within 3 months to 1 month of the delivery 50% refund of fees
  • Cancellation within 1 month to 2 weeks of delivery 25% refund of fees
  • Cancellation within 2 weeks of delivery 0% refund of fees

Platfform Wellbeing reserves the right to apply the above cancellation policy. If a client wishes to re-arrange training, workshops or events, if scheduled for delivery more than two weeks in the future this can be done at no charge. If it is within two weeks of the scheduled delivery Platfform Wellbeing reserve the right to apply an additional 50% fee charge to cover staff costs allocated to the original training dates.

4. Fee structure and payment terms

All payments are to be made within 30 days of invoice date.

An invoice will be raised for 50% of the total cost of the proposal on signing of the agreement and the final 50% of the total proposal cost will be invoiced two months prior to delivery to be paid one month before the scheduled delivery date.

VAT will not be applied to any fees.

5. Intellectual Property

You (the client) acknowledge that the legal and beneficial interest in Intellectual Property Rights relating to, or developed by us in connection with, the Goods and/or Services belong to Platfform Wellbeing (a trading name for Platfform for Change) or our licensors.

You (the client) may use the Intellectual Property Rights for the sole purpose of receiving and using the relevant materials for your own internal business purposes. If you wish to reproduce any of the content used within a presentation, please ensure Platfform Wellbeing is clearly referenced as the source.

6. Confidentiality

We will treat as confidential all information about the organisation that is not in the public domain (annual reports, brochures, websites). Maintain the highest levels of privacy and protection of personal data, both during and after completion of the programme in line with the latest general data protection regulations (GDPR).

7. Expenses

Any expenses incurred to complete the proposal such as travel, subsistence, external room and equipment hire will be charged back at cost. Mileage will be charged back at current HMRC mileage rates at the time of proposal. Any significant expenses (over £100) will be discussed in advance.

8. Client responsibility

We request that the client organisation is considerate of the programme and allows participating staff adequate time within their workload to complete the programme and associated tasks outside of the delivered sessions.

We request that the staff members enrolled on the programme fully participate in the complete programme, set aside adequate time for the programme and conduct themselves in a respectful and considerate manner in relation to other participants and the representatives from Platfform Wellbeing.

9. Social media and website

The client gives permission for Platfform Wellbeing to use their logo on the platfformwellbeing.com website. An agreed statement can be used to announce the organisations working together on any social media platform (Linkedin, Facebook, Twitter, Instagram).

10. Insurance

Platfform Wellbeing (a trading name for Platfform for Change) has professional indemnity, public liability and employer liability insurance and certificates can be provided upon request.
